Typical duties Include:
Analyze the potential impact of proposed SEC regulations and SRO rules on small businesses and their investors, including rules proposed by both the SEC and self-regulatory organizations that are likely to have a significant economic impact on small businesses and small business capital formation.
Propose appropriate regulatory and legislative changes to the SEC and Congress to mitigate problems identified with small business capital formation and to promote the interests of small businesses and their investors.
Conduct outreach to small businesses and their investors to solicit views on capital formation issues.
Interact with a variety of organizations and individuals, both within the SEC and externally, on small business-related issues.
Support preparation of an annual report to Congress providing analysis of the issues small businesses face and steps OASB has taken to address such issues over the past year.
Assist small businesses and their investors in resolving significant problems with the SEC or self-regulatory organizations (SROs).
Identify areas in which small businesses and their investors would benefit from educational resources to explain SEC regulations relating to small business capital raising.
Identify problems that small businesses have with securing access to capital, including any unique challenges to minority-owned and women-owned small businesses and small businesses affected by natural disasters.
Identify areas in which small businesses and their investors would benefit from changes in SEC regulations or SRO rules.

You must possess a J.D. or LL.B Degree.
You must be an active member of the bar in good standing

TRIAL PERIOD: This appointment may require completion of a two-year trial period.

Qualifications

Qualifying experience may be obtained in the private or public sector. Experience refers to paid and unpaid experience, including volunteer work done through National Service programs (e.g., Peace Corps, AmeriCorps) and other organizations (e.g., professional; philanthropic; religious; spiritual; community, student, social). Volunteer work helps build critical competencies, knowledge, and skills and can provide valuable training and experience that translates directly to paid employment. You will receive credit for all qualifying experience, including volunteer experience. Qualifying education must have been obtained from an accredited college or university recognized by the U.S. Department of Education.
BASIC REQUIREMENT: All applicants must possess the following
J.D. or LL.B. degree --AND--
Active membership of the bar in good standing in any state, territory of the United States, the District of Columbia, or the commonwealth of Puerto Rico. (Note: proof of bar membership will be required before entry on duty.
MINIMUM QUALIFICATION REQUIREMENT: In addition to meeting the basic requirement, applicants must also meet the minimum qualification requirement.
SK-13: Applicant must have at least two years post-J.D. experience identifying legal issues, conducting legal research, providing legal analyses, providing legal solutions/recommendations, and preparing legal documents, such as contracts, dispositions, pleadings, and motions, which also includes at least one year:
Assisting small businesses raise capital through registered or exempt offerings under the Securities Act of 1933; AND/OR
Interpreting rules under the Securities Exchange Act of 1934, the Investment Company Act of 1940, or the Investment Advisers Act of 1940 as they apply to small business raising capital or their intermediaries; AND/OR
Assisting small business investors (including angel investors, registered or venture funds and other investors) or their intermediaries with federal securities law compliance.
SK-14: Applicant must have at least three years post-J.D experience independently identifying legal issues, providing legal analyses, providing legal solutions/recommendations, and preparing legal documents, such as contracts, dispositions, pleadings, and motions, which also includes at least two years of which includes allof the following:
Assisting small businesses, small business investors, or their intermediaries with compliance obligations under the federal securities laws; AND
Interpreting rules under the Securities Act of 1933, Securities Exchange Act of 1934, the Investment Company Act of 1940, or the Investment Advisers Act of 1940 as they apply to small business raising capital or their intermediaries; AND
Developing strategic resolutions to problems or obstacles that may arise in the course of capital raising or other market activity under the federal securities laws.
