The Office of the Secretary (OSEC), as directed by the Secretary, oversees various procedural aspects of matters presented to and decided by the Commission. The Secretary reports directly to the Chairman, attends all official Commission meetings, advises the Commissioners on a broad range of procedural issues, and provides support to staff throughout the agency. The Secretary serves as a key point of clearance and communications between the Chairman, Commissioners, Commission staff, and the public in promulgating and issuing Commission orders, notices, rules, and other official Commission actions, as required by law. The Secretary has exclusive authority to issue official Commission actions and to cause legal service of such actions on parties to the proceedings. The Secretary signs official documents and correspondence reflecting Commission action, and collaborates with staff throughout the agency to ensure that Commission actions are adequately and accurately presented to interested parties and the public.
The Secretary is the legal custodian of the Commission's seal, property, papers, and records, as well as the Federal Trade Commission Decisions, and certifies the authenticity of the agency's records; oversees the assignment of investigatory (16 CFR, Part 2) and adjudicative (16 CFR, Part 3) matters to the Commission, ensures orderly processing of such matters, and validates the votes of the Commission. In close collaboration with litigating staff, the Secretary ensures the proper issuance of compulsory process, coordinates the official presentation of matters for Commission consideration and disposition, schedules formal hearings before the Commission and meetings of the Commission, and ensures that Commission votes are concluded and recorded in a timely and orderly manner. In certain situations, the Secretary is authorized to close matters, provided the Secretary has submitted a notice to the Commission and no timely objections have been registered. As the Commission's clerk in adjudicative proceedings, the Secretary ensures that the records of adjudicated matters are accurate, reliable, and complete. The Secretary also oversees various administrative aspects of the Commission's docket in both its adjudicative and rulemaking proceedings.
The Secretary has exclusive authority to reject applications, pleadings, and other papers tendered for filing that fail to conform to the Commission's rules, regulations, or orders, or laws administered by the Commission. The incumbent can also prescribe the time for filing answers to pleading or other documents; waive the requirements of the Commission's rules and regulations that govern matters of form, consistent with the public interest; issue orders tolling the time for Commission action on requests for rehearing; and accept for filing surety bonds or corporate undertakings submitted pursuant to the requirements of Commission orders.
The Secretary has exclusive authority to effectuate the publication of appropriate Commission materials in the Federal Register. In close collaboration with staff from the Commission's bureaus and offices, the Secretary ensures materials slated for Federal Register publication are properly drafted and formatted, develops and manages processes to submit filings for publication, and tracks submissions to establish operative publication dates.
As a senior executive administrative official, the Secretary provides the Chairman and Commissioners with strategic advice to inform decisions regarding the agency's records and information systems, consistent with the Commission's broader organizational goals and legal responsibilities. The Secretary plays a significant role in developing, implementing, maintaining, and modernizing the Commission's assignment, voting, and document management systems, including the agency's ongoing transition to paperless processes. In support of and coordination with the Senior Agency Official for Records Management, the Secretary helps to ensure that appropriate minutes, transcripts, and other validated records of Commission actions are prepared, recorded, and preserved and that permanent records are properly identified for transfer to the custody of the National Archives and Records Administration.
The Secretary assesses, analyzes, acquires, and administers the resources necessary to accomplish OSEC program goals and enhance OSEC's productivity while assuming responsibility for their effective use, including human, financial, material, and information resources; designs and implements strategies that maximize the potential of OSEC's diverse professional and support staff and holds them accountable for appropriate levels of performance and conduct. The Secretary provides an inclusive workplace that fosters the development of employees to their full potential, allows for full participation by all employees, facilitates collaboration, cooperation, and teamwork, and supports the constructive resolution of conflicts. The Secretary applies merit principles to ensure OSEC staff are selected, developed, utilized, appraised, and rewarded appropriately.
