This position is located in the Office of General Counsel. The successful candidate will serve as an Assistant General Counsel and advise on the legal and policy aspects of all of DFC's programs, with a primary focus on equity investment transactions. Work on equity transactions includes legal due diligence and reviewing, drafting and/or negotiating all transaction documents leading to closing as well as monitoring existing transactions and exiting transactions.

In this position, you will:
- Manage legal issues for a portfolio of DFC projects in the full spectrum of DFC business lines with a primary focus on direct equity investments.
- Handle the entire transaction documentation and negotiation process for both investment and divestment transactions. Where outside counsel has been retained, acts as head of the legal negotiating team ("first chair") for transactions of all sizes and sectors.
- Supervise the partners and associates of outside private legal firms who are procured to supplement DFC's legal team in completing transactions.
-Provide legal advice on a variety of matters involving the following:
-Conduct legal due diligence and review due diligence reports from outside counsel and consultants to identify legal risks;
- Explain legal issues and risks clearly and concisely to investment professionals and, as applicable, to transaction approvers; and
- Draft (or review drafts of) investment or divestment documentation, negotiate and close investment and divestment transactions.
Applicants must be a graduate of an accredited law school with an LL.B. or J.D. An official transcript will be required if you are selected. In addition, if selected, you must provide proof of bar membership.
Telework Suitability:The duties of this position are suitable for occasional telework and the selectee may be allowed to telework with supervisor approval and if they meet the eligibility criterion in the 2010 Telework Act.
