This position is in the Division of Corporation of Finance (CF), Office of Enforcement Liaison (OEL).
OEL acts as a liaison between the Division of Enforcement (Enforcement) and CF staff. The principal purpose of OEL is to ensure that the views, disclosure program objectives, and expertise of CF are considered in connection with potential enforcement actions that may impact the statutes and rules CF administers and interprets.
If selected, you will serve as a Senior Special Counsel in the OEL.

Typical duties include:
- Serve as an expert legal adviser and consultant between CF and Enforcement on matters related to a variety of provisions and rules under the Securities Act of 1933 and the Securities Exchange Act of 1934, including among other things: the registration provisions of the Securities Act; the exemptions and safe harbors from Securities Act registration, including Regulation A, Regulation D, Rule 144, and Regulation S; the Securities Act disclosure requirements; the Exchange Act reporting and disclosure requirements; the antifraud provisions of the Securities Act and Exchange Act; and Howey and Reves analyses.
- Provide assistance to CF staff on potential referrals to Enforcement, including reviewing and editing draft referral memos; review, analyze, and comment on Enforcement action memoranda on matters involving areas of interest to CF.
- Provide expert legal advice and analysis to Enforcement, CF, and other SEC staff on a wide variety of consultation requests made to OEL; and represent CF at Commission and staff meetings and coordinate with enforcement liaison staff in other Divisions.
- Assess possible tips, complaints and referrals (TCRs) for uploading to the TCR database, triage TCRs assigned to CF, assign TCRs within CF for evaluation and resolution, and track the status of outstanding TCRs.
- Coordinate interpretations of rules, policies, and forms involving issues within the jurisdiction of CF, and assist as necessary in the review of bad actor and ineligible issuer waiver requests.
- Assist other OEL staff in resolving complex legal, policy, and interpretive issues concerning the Securities Act and Exchange Act.
- Advise on the formulation of new or revised policies and programs and contribute to special projects.
